The Tribunal has conditionally approved the proposed large merger whereby Harthope Moss (Pty) Ltd (“SPV”) intends to acquire Halewood International South Africa (Pty) Ltd (“Halewood”). Post-merger, SPV will control Halewood.
The Competition Commission, which assesses proposed large mergers before referring such to the Tribunal for a decision, recommended that the proposed transaction be approved without conditions. However, following its assessment and after considering submissions from the Commission, the merging parties and trade unions, the Tribunal has approved the proposed transaction subject to an employment-related condition.
Halewood manufactures, markets and distributes a range of alcoholic beverages and carbonated “mixers” (being drinks that are mixed with spirits to create a flavoured alcoholic beverage).
