The Competition Tribunal (“Tribunal”) has conditionally approved the proposed merger wherein Actom (Pty) Ltd (“Actom”) will acquire the entire business of SGB-Smit Matla (Pty) Ltd (“SGB”).
The Tribunal has approved the merger with conditions relating to, among others, procurement and supplier development as well as employment and job preservation.
Actom’s activities involve the manufacturing, servicing, repairing, maintenance and distribution of electromechanical equipment. Actom's activities in manufacturing and distributing transformers is relevant to the proposed merger.
SGB has been involved in manufacturing and distributing transformers. The business being sold comprises: (i) fixed and movable assets; (ii) work in progress; and (iii) all usable stock of SGB at its Pretoria and Cape Town premises.
