The Competition Tribunal has unconditionally approved the proposed merger wherein Tario 892 (Pty) Ltd (“Tario 892”) intends to acquire shares in RSAWEB through the exercise of a call option on behalf of RSAWEB (Pty) Ltd (“RSAWEB”). Following the implementation of the proposed transaction, Tario 892 will exercise sole control over RSAWEB.
The acquiring group (Tario 892, its controlling firms and all the firms controlled by its controlling firms), through MetroFibre, is a Fibre Network Operator and Internet Service Provider (“ISP”). It owns and manages open access carrier class Ethernet infrastructure, providing fibre connectivity in Gauteng, KwaZulu-Natal, Eastern Cape, North West and Mpumalanga. It provides services to ISPs, resellers, small medium and micro enterprises (SMMEs) and residential consumers. Through Octotel, the acquiring group operates an open access fibre network in the Western Cape. Its activities include building, owning, maintaining and leasing of fibre networks, with a focus on providing Fibre-To-The-Home (“FTTH”) and Fibre-To-The-Business (“FTTB”).
RSAWEB is a downstream ISP, which focuses on the provision of retail FTTH and FTTB services. It also provides cloud infrastructure, enterprise connectivity and mobile data management.
