The Competition Tribunal (“Tribunal”) has conditionally approved the proposed merger in terms of which The Prepaid Company (Pty) Ltd (“TPC”) intends to increase its shareholding in Cell C Limited (“Cell C”). Following the implementation of the merger, TPC will exercise sole control over Cell C. The Tribunal has approved the transaction subject to competition-related conditions.
 
TPC, a wholly owned subsidiary of Blue Label Telecoms Limited, is a wholesale aggregator and distributor of mobile network products in South Africa i.e. it supplies prepaid airtime, data products, SIM cards, postpaid airtime, postpaid contracts and entry-level handsets. TPC procures products from Mobile Network Operators (“MNOs”) such as Vodacom, MTN, Telkom and Cell C, reselling them to distributors, merchants and retailers.
 
Cell C, an MNO operating in South Africa, is not controlled by any individual shareholders. It supplies mobile network products to businesses and consumers, selling airtime directly through retail stores and its mobile app. It also provides wholesale services to Mobile Virtual Network Operators and Mobile Virtual Network Enablers, which involves providing them with network access.

eMedia Holdings Ltd and eMedia Investments (Pty) Ltd

The Tribunal has unconditionally approved the proposed merger in which eMedia Holdings Limited (“EMH”) intends to increase its shareholding in eMedia Investments Pty Ltd (“EMI”). Following the implementation of the proposed transaction, EMH will have sole control over EMI.
 
EMH is a public company listed on the Johannesburg Securities Exchange. The target group (EMI and all the firms it controls) is active in the media sector and is a holding company whose activities consist of various subsidiaries involved in television and radio broadcasting, transmission of television broadcasts, production of a news channel and production of media content.
